1. Introduction and agreement to terms

These Terms of Service (“Terms”) are a legal agreement between you and NyaIcon (“NyaIcon,” “we,” “us,” or “our”). They govern your access to and use of the NyaIcon website, Mac app, APIs, icon themes, and related online services (together, the “Services”).

Your permission to download, install, and use the Mac app is conditioned on these Terms. If you do not agree to them, do not download, install, or use the app.

Related policies

Our Privacy Policy explains how we handle personal information. Our Licenses page explains the rights granted for NyaIcon software, themes, and third-party materials and is incorporated into these Terms. If these Terms and the Privacy Policy conflict about personal-information practices, the Privacy Policy controls.

If you do not agree to these Terms, do not access or use the Services.

2. Description of the Services

NyaIcon helps you customize icons for supported Mac apps and folders.

Core features

  • Browse and search coordinated icon themes.
  • Import supported image and ICNS files.
  • Apply icons to supported apps and folders.
  • Undo recent changes and restore original icons.
  • Download available themes from the NyaIcon catalog.

Service limitations

  • Compatibility: the current Mac app requires the supported macOS version stated on the website or download page. App and macOS updates can affect icon behavior.
  • Internet access: downloading the app, browsing catalog updates, and contacting online services require an internet connection.
  • Availability: we do not guarantee that every app, folder, icon, theme, or online feature will always be available or compatible.
  • Backups: you are responsible for keeping copies of artwork and files that matter to you.

Changes to your Mac

When you select an app or folder and apply an icon, you direct NyaIcon to make the related local icon change and authorize any helper that you approve through macOS to perform that change. NyaIcon may create local backups to support undo and restore features, but macOS updates, app updates, file changes, permissions, or deletion of backups can reset an icon or prevent restoration. Keep independent backups of files and artwork that matter to you.

Third-party services

The Services may rely on infrastructure providers for hosting, storage, and delivery and may link to or open third-party websites, email providers, or system sharing services. NyaIcon does not control or endorse those services. Their own terms and privacy policies govern your use of them.

Changes to the Services

We may modify, suspend, or discontinue part of the Services. Features, compatibility, and availability may change as the product develops.

3. Access

NyaIcon does not require an account, subscription, purchase, license key, or device activation.

We may limit or suspend access when reasonably necessary to protect the Services, other users, or third-party systems from fraud, abuse, excessive automated traffic, or a security issue.

4. Acceptable use

You may use the Services only for lawful and authorized purposes.

Prohibited activities

  • Violate applicable law or another person’s rights.
  • Import, send, distribute, or otherwise use material you do not have permission to use.
  • Redistribute, resell, sublicense, or publicly publish NyaIcon themes or protected files without written permission.
  • Engage in fraudulent, false, misleading, or deceptive activity.
  • Transmit malware or other harmful code.
  • Interfere with, overload, scrape, probe, or disrupt the Services.
  • Attempt to gain unauthorized access to accounts, systems, APIs, or data.
  • Reverse engineer or circumvent technical protections except where applicable law expressly permits it.
  • Use the Services or protected NyaIcon materials to build a competing theme catalog or product.

Your responsibility for artwork and icon changes

You are responsible for the images and icon files you import and for how you use changed icons. NyaIcon does not verify that your artwork is licensed and does not grant you rights in third-party characters, logos, app icons, photographs, or other content.

5. Intellectual property rights

NyaIcon materials

The Services, including NyaIcon software, website design, code, documentation, original themes, and related technology, are owned by NyaIcon or its licensors and are protected by intellectual property laws. Permission to use NyaIcon is limited by these Terms and the Licenses page; it does not transfer ownership.

Your imported materials

You retain the rights you already hold in artwork and files you import. Importing and processing those materials locally on your Mac does not grant NyaIcon a license to them. If you intentionally send a file to support, you permit NyaIcon and its email provider to access, copy, and use it only as reasonably needed to investigate and answer your request, protect the Services, or comply with law.

Feedback

If you send ideas or feedback about NyaIcon, you permit us to use them without restriction, payment, or attribution.

Third-party materials

Third-party names, trademarks, logos, app icons, and other materials remain the property of their respective owners. References to them do not imply sponsorship or endorsement. Additional permissions or terms may apply.

Copyright complaints

If you believe material available through the Services infringes your copyright, email nyaicon.official@gmail.com with your contact information, identification of the copyrighted work, the specific material or URL at issue, a good-faith statement that the disputed use is not authorized, and a statement that your report is accurate and that you are authorized to act for the rights holder. NyaIcon may remove or restrict material while reviewing a report. This contact method does not represent that NyaIcon has registered a designated agent under the Digital Millennium Copyright Act.

6. Pricing

NyaIcon does not currently charge for access. We will not charge you unless you expressly agree to the price and terms shown before a purchase.

7. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY APP OR MACOS RELEASE.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYAICON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITY, ARISING FROM THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYAICON’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NYAICON DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limits do not apply where applicable law prohibits them.

9. Children

The Services are intended for a general audience and are not directed to children under 13. If you cannot form a binding contract in your location, a parent or legal guardian must review and agree to these Terms on your behalf before you use the Services.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless NyaIcon and its operators, employees, contractors, and affiliates from claims, damages, losses, and expenses arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person’s rights.

11. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Unless applicable consumer law requires otherwise, disputes will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

12. Termination

We may suspend or terminate access to online Services for a material violation of these Terms, fraud, abuse, security risk, legal requirement, or discontinued service.

You may stop using the Services and delete the app at any time. You may contact support about information you previously provided.

Effect of termination

When access ends, your right to use the affected Services ends. Provisions that by their nature should survive—including ownership, disclaimers, liability limits, and dispute terms—will continue to apply.

13. Changes to these Terms

We may update these Terms. We will post the revised Terms and change the “Last updated” date. If a change materially affects your rights, we will provide additional notice when reasonably practical. Continued use after the revised Terms take effect constitutes acceptance.

14. Third-party trademark notice

Apple, Mac, and macOS are trademarks of Apple Inc., registered in the United States and other countries and regions. The names and marks of third-party apps belong to their respective owners. NyaIcon is an independent product and is not affiliated with or endorsed by Apple or those app publishers unless expressly stated. No third-party trademark or character license is granted through the Services.

15. General terms

These Terms, together with the Licenses page and any additional terms expressly presented for a feature, are the entire agreement about the Services. If a provision is found unenforceable, it will be modified only to the minimum extent necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver.

You may not assign these Terms without NyaIcon’s prior written consent. NyaIcon may assign them in connection with a merger, acquisition, reorganization, or transfer of the Services, subject to applicable law. You may not export, re-export, or use the Services in violation of applicable export-control or sanctions laws.

Legal notices may be delivered by posting them on the Services. If you have difficulty accessing the website or legal documents, contact us and we will make a reasonable effort to provide the information in an accessible format.
